Varonis Systems to be Acquired by Proofpoint in Major Cybersecurity Merger valued at $6.3 Billion

In a significant development within the cybersecurity sector, Varonis Systems, Inc. and Proofpoint, Inc. announced on October 15, 2026, their definitive agreement for Varonis to be acquired by Proofpoint in an all-cash transaction valued at approximately $6.3 billion. This merger marks a pivotal moment, combining the strengths of two industry leaders to create a formidable force against emerging AI-accelerated threats and data risks that organizations face today.

Under the proposed terms of the acquisition, Varonis shareholders will receive $49.75 per share in cash. This valuation is noteworthy as it represents a striking premium of 52% compared to Varonis’ closing stock price of $32.71 recorded on June 22, 2026, just before rumors of a potential sale began to circulate. Furthermore, the agreed purchase price also offers a 17% premium over the stock’s price of $42.35 as of September 1, 2026, which was the last trading day before further media speculation regarding the acquisition took place. The transaction values Varonis at an impressive 53 times its last twelve months (LTM) Free Cash Flow and 8.4 times its LTM Revenue.

This merger will create one of the largest pure-play cybersecurity organizations globally, serving over 16,000 enterprises and millions of organizations worldwide. By joining forces, the combined entity intends to provide a comprehensive security platform aimed at helping businesses adopt artificial intelligence confidently. Their offerings will focus on identifying and safeguarding sensitive data, managing access for human and AI agents, and effectively stopping potential data loss. Following the merger completion, Proofpoint is expected to swiftly integrate the capabilities of both organizations and align their market strategies to accelerate the delivery of this combined platform to their client base.

Yaki Faitelson, the CEO, Co-Founder, and Chairman of Varonis, expressed optimism about this new venture, stating, “Today begins an exciting new chapter for Varonis and our customers. It’s a testament to the incredible work of the Varonis team over two decades.” He emphasized the importance of securing AI and the data that supports it, remarking that collaboration with Proofpoint could expedite the achievement of their goals significantly.

Faitelson also noted that the decision came after a thorough evaluation led by a committee of independent board members and comprehensive discussions with various potential buyers. He described the transaction as an advantageous outcome for Varonis and its shareholders, delivering immediate and substantial value that surpasses the risk-adjusted potential of the company’s standalone strategy.

Sumit Dhawan, the CEO of Proofpoint, highlighted the critical connection between AI integration and data management within organizations. He stated, “As AI becomes embedded across the enterprise, the data it can access determines both its value and its risk.” Emphasizing the urgency for businesses to understand the depth of their data exposure, Dhawan underlined how AI agents are increasingly interacting with sensitive information, thereby necessitating sophisticated security measures. The merger aims to bridge the gaps between communications, identities, permissions, and data management, enabling organizations to gain an intelligence advantage against evolving cybersecurity risks.

The transaction, which has gained unanimous approval from Varonis’ Board of Directors, is expected to close in the first half of 2027. However, this is contingent upon customary closing conditions, including Varonis shareholder approval and regulatory confirmations. Thoma Bravo, a private equity firm, is backing the acquisition with committed equity financing, supplemented by secured debt financing agreements. Furthermore, Ontario Teachers’ Pension Plan has committed to investing in Proofpoint as part of the transaction.

Until the acquisition is finalized, Proofpoint and Varonis will continue to operate as separate entities. Post-completion, Varonis’ stock will be withdrawn from trading on the Nasdaq, transitioning the company into a private entity.

In related news, Varonis is set to announce its third-quarter financial results for 2026 on November 3, following the close of U.S. financial markets, although an earnings conference call is not anticipated due to the recent merger announcement.

Goldman Sachs & Co. LLC is serving as the exclusive financial advisor and Paul Hastings LLP as legal counsel for Varonis, while Proofpoint has engaged BofA Securities, Morgan Stanley, J.P. Morgan Securities, UBS Securities, and Mizuho Securities as financial advisors, with Kirkland & Ellis LLP acting as legal counsel.

Varonis has established itself as a leader in safeguarding AI and data security, offering organizations automated visibility over their critical data and ensuring safe AI deployment. Meanwhile, Proofpoint excels in human and agent cybersecurity, protecting how people and AI interact across various platforms, from email to cloud computing tools.

As the cybersecurity landscape evolves, the merger between Varonis and Proofpoint signifies a strategic move to bolster defenses against an ever-growing array of digital threats, ensuring that organizations globally can adopt innovations like AI while minimizing risks associated with data exposure and loss.
